AKIBAT HUKUM PELANGGARAN ITIKAD BAIK DIREKSI PERSEROAN TERBATAS: SEBUAH PERBANDINGAN INDONESIA DENGAN BELANDA

Abstract


This research discusses the legal consequences of violations of good faith by directors of Limited Liability Companies: A comparison of Indonesia with Netherlands. Caused by the lack of discipline among directors in corporate governance principles and the ambiguity of norms regarding the boundaries of good faith. The research focuses on the limits of good faith violations by directors in Limited Liability Companies as stipulated in Article 97, Paragraph (2) of UUPT 2007 and a comparison of company law governing directors' good faith violations under UUPT 2007 and the Dutch Civil Code. The legal research method used is normative juridical, statutory, conceptual, and comparative approaches. The study found that breach of good faith in Indonesia and the Netherlands include conflicts of interest and ultra vires actions. The primary difference lies in the regulatory details: UUPT 2007 uses general language, whereas the Dutch Civil Code is more detailed and structured, making interpretation in the Netherlands clearer compared.
